Terms of Service
These terms govern your use of REKOD. We've written them in plain language so you know exactly what you're agreeing to.

REKOD NG LIMITED ("REKOD", "we", "us", or "our") is a technology business operating in the Federal Republic of Nigeria, in the process of formal incorporation with the Corporate Affairs Commission (CAC) under the Companies and Allied Matters Act (CAMA) 2020. We operate the REKOD platform — a cloud-based shop management and business record-keeping service — accessible at rekod.ng and any related applications (collectively, the "Service").

By creating an account, starting a free trial, or using any part of the REKOD Service, you ("User", "Trader", "Shop Owner") agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy — all incorporated by reference into this agreement.
If you do not agree with any part of these Terms, you must not use the Service. If you are accepting these Terms on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
Continued use of the Service after any updates to these Terms constitutes acceptance of the revised Terms.
REKOD is a business record-keeping and shop management tool designed for Nigerian traders and small business owners. The Service includes, but is not limited to:
• Sale recording, receipt generation, and transaction history.
• Product catalogue and inventory management.
• Debt and credit tracking.
• Staff account management with role-based access.
• Business reporting and analytics.
• Customer record management.
• Subscription billing and account management.
• Affiliate and trader referral programme access.
REKOD is a software tool only. We do not process payments on behalf of traders, hold trader funds, provide loans or credit, or offer financial advisory services of any kind.
To use the Service, you must:
• Be at least 18 years of age.
• Provide accurate, complete, and up-to-date registration information.
• Maintain the security of your account credentials — passcode, OTP, and any linked Google account.
• Notify us immediately at support@rekod.ng if you suspect unauthorised access to your account.
You are responsible for all activity that occurs under your account. One account may have multiple staff members added with role-based access (Owner, Senior Cashier, Cashier). You are responsible for managing and monitoring all staff activity on your account.
5.1 Permanent Free Tier
Every REKOD account has access to a permanent free tier at no cost. The free tier includes basic sale recording and transaction history viewing only. Features including receipts, debt tracking, staff accounts, reporting, and all advanced features require a paid plan. A full feature list is available at rekod.ng/pricing.
5.2 30-Day Premium Free Trial
Every new account automatically receives a 30-day free trial of the Premium plan, with full access to all Premium features. No payment information is required to start the trial.
5.3 End of Trial
On day 25 of your trial, we will send you a reminder by email and in-app notification that your trial is ending. On day 30, your account automatically transitions to the permanent free tier. All your data — sales records, products, customers, and history — remains fully intact. You only lose access to paid features until you subscribe to a plan.
6.1 Plans
REKOD offers the following subscription tiers:
• Free: permanent, no charge, limited features.
• Pro: paid monthly or annually.
• Premium: paid monthly or annually.
Current prices and features for each plan are published at rekod.ng/pricing, which is the single source of truth for pricing. Enterprise and white-label plans are available on request at support@rekod.ng.
6.2 Billing
Subscriptions are billed monthly or annually depending on your chosen plan, processed through Paystack. By subscribing, you authorise REKOD and Paystack to charge your payment method on each billing date.
6.3 Failed Payments
If a payment fails, we will notify you by email and in-app notification. If payment is not resolved within 7 days, your account will revert to the free tier.
6.4 Plan Changes
You may upgrade or downgrade at any time from your account settings. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle.
6.5 Price Changes
We will provide at least 30 days' written notice via email before any price change affects your active subscription.
7.1 Trader Referral Programme
Existing REKOD subscribers may refer other traders using a unique referral link in their dashboard. When a referred trader signs up and maintains a paid subscription for at least one full billing cycle, the referring trader earns one free month of their current plan, applied automatically to their next billing cycle.
Referral rewards are granted only where the referred trader is a genuinely new user with no prior REKOD account and successfully completes at least one paid billing cycle. REKOD reserves the right to withhold rewards where fraud or abuse is suspected.
7.2 Affiliate Programme
External affiliates may apply through the affiliate portal at rekod.ng/affiliate. Approved affiliates earn 20% of the subscription fees paid by each trader they refer, calculated monthly for up to the first 12 months of that trader's subscription. Commissions are paid to the affiliate's nominated Nigerian bank account via the affiliate portal, subject to a minimum withdrawal threshold of ₦5,000.
7.3 Prohibited Conduct
You must not create fake accounts to generate rewards, use paid advertising that infringes REKOD's trademarks without prior approval, make misleading claims about the Service, or use spam to distribute your referral or affiliate link. Violations result in forfeiture of all pending rewards and termination of affiliate status.
Shop Owners have full administrative control — adding products, setting prices, inviting staff, managing records, and accessing all reports. You are solely responsible for the accuracy, completeness, and legality of all data entered into your shop.
Senior Cashiers may make sales and view the shop dashboard, including revenue and profit summaries. Their access is limited to what the Shop Owner has assigned.
Cashiers may only record sales. They cannot access full reports or staff management. All actions are tied to their profile for accountability.
Staff members are expected to use the Service honestly. Falsifying records, deleting sales without authorisation, or any misuse of the Service is a violation of these Terms.
You retain full ownership of all data you input into REKOD — your shop records, product listings, customer information, and transaction history. REKOD does not claim ownership over your data.
By using the Service, you grant REKOD a limited licence to store, process, and display your data solely for the purpose of providing the Service to you.
You are solely responsible for the accuracy and legality of the data you input, and for ensuring you have the right to store and process any customer personal data you enter into REKOD.
REKOD may use anonymised and aggregated data — which cannot identify you or your customers — to improve the Service and generate market insights. We will never sell or share your identifiable business data with third parties without your consent, except as required by law.
All content, design, code, trademarks, logos, and features of the REKOD Service — including the name "REKOD" — are the exclusive property of REKOD NG LIMITED and are protected under applicable Nigerian and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own business purposes during the term of your subscription. This licence does not include the right to copy, modify, distribute, sell, or create derivative works of the Service.
You agree to use the Service only for lawful business record-keeping purposes. You must not:
• Use the Service to record, conceal, or facilitate any fraudulent, illegal, or criminal activity.
• Attempt to reverse-engineer, copy, or create derivative works from the REKOD platform or codebase.
• Share your account credentials with anyone outside your authorised staff.
• Use automated tools to scrape, extract, or harvest data from the Service.
• Interfere with or disrupt the Service, its servers, or any connected networks.
• Attempt to gain unauthorised access to any other user's account or data.
• Use the Service in any way that violates Nigerian law, including the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015.
Violation of this section may result in immediate suspension or termination of your account without refund.
REKOD is a record-keeping software tool, not a financial institution, payment processor, or financial adviser. REKOD does not hold or move money, provide credit or loans, or offer financial or tax advice. REKOD is not regulated by the Central Bank of Nigeria (CBN) as a financial institution.
Any sale recorded as a "credit sale" within REKOD is a record you create for your own tracking purposes. REKOD bears no liability for unpaid debts between you and your customers.
REKOD provides the Service on an "as available" basis. We strive for high uptime but do not guarantee uninterrupted or error-free access.
The REKOD Trader application is designed to function offline for core sale-recording features, with data synchronising automatically when your device regains connectivity. This reflects the reality of network conditions across Nigerian commercial hubs.
To the fullest extent permitted by Nigerian law, REKOD provides the Service "as is" without warranties of any kind. Our total liability to you for any claim shall not exceed the total subscription fees you paid to REKOD in the three months immediately preceding the event giving rise to the claim.
14.1 By You
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle, after which your account returns to the free tier. Your data is retained for 90 days after account closure before permanent deletion.
14.2 By REKOD
We may suspend or terminate your account immediately without notice if you breach these Terms, if we are required to do so by law, or if your account shows signs of fraudulent activity. We may terminate the Service entirely with 30 days' written notice to all subscribers.
We may update these Terms from time to time. Material changes will be communicated by email and/or in-app notification at least 14 days before they take effect.
Continued use of the Service after the effective date constitutes acceptance of the changes. If you do not agree with the changes, you must stop using the Service before the new terms take effect.
These Terms are governed by the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020 and the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015.
Both parties agree to first attempt to resolve disputes amicably within 30 days of written notice. Unresolved disputes shall be referred to arbitration under the Arbitration and Conciliation Act, with the seat of arbitration in Nigeria and proceedings conducted in English.
